Amy advises clients on transactions in the energy space with a specific focus on renewable energy as well as on general corporate matters.

She also brings extensive experience in compliance and a hands-on understanding of the legal needs of clients, having most recently served in-house, where she provided strategic legal support and risk management on a wide range of day-to-day legal issues spanning both nationally and internationally.

    • Advised public and private companies, financial sponsors, and financial advisers in connection with domestic and cross-border mergers, acquisitions, joint ventures, minority investments, and leveraged buy-out and secured financing transactions.
    • Advised Japanese and international clients on U.S. law and cross-border transactions, including a public tender offer, mergers, joint ventures, and employment, intellectual property and tax matters.
    • Reviewed and advised on commercial contracts, including supply agreements, services agreements for information technology and other services, and commercial lease agreements.
    • Drafted and negotiated principal and ancillary deal documents, including purchase agreements, stockholder agreements, secured credit facilities, underlying collateral documentation, corporate board resolutions, promissory notes, licensing agreements, services agreements, consulting agreements, legal opinions, and closing deliverables.
