Ms. Buerger said there were some banks that had a laser-like focus on failed banks, but they can no longer limit themselves. Those days are gone. She said buyers need to keep an eye open to both marketplaces, and this is the nature of an improving banking environment. Ms. Buerger said that healthy, acquisitive banks are still looking for attractive deals with banks that have highly complementary footprints that will add to or kick-start their operations.

Mr. Williams said that the 'paradigm action' under FIRREA at the time the law was enacted was a suit against the officers or directors of a failed thrift institution. The BofA suit and others like it attempt to expand FIRREA greatly beyond such actions to include situations where the financial institution in question is both allegedly the perpetrator and victim of the alleged fraud. Mr. Williams said that he understands Judge Rakoff's difficulty in expanding the statute this far, and believes that the statute was not intended for this purpose. He says that if Judge Rakoff holds that the statute wasn't intended to cover these situations, it would be a significant setback to the Government's whole approach in using FIRREA to civilly prosecute mortgage fraud cases like the BofA case.

Ms. Denniston said there has to be a number between 7.5 percent and 2.5 percent, but there is no means for a city to challenge that.

Mr. Deeb commented that this is a very significant proposal for the agency to make.

She said that judging from the formal enforcement actions that are out there, we certainly can make the presumption that many of the banks that are still on the problem list have been on that list longer than they would have been in the past. In regards to recent FTC leadership changes, Mr. Cernak said he doesn’t think the change from Mr. Leibowitz to Ms. Ramirez will make a huge difference, but what might make a difference is Joshua Wright joining the commission and replacing Tom Rosch, saying that Mr. Wright has been much more critical of some FTC actions in the past. Mr. Cernak said he thinks the FTC will continue to apply basic antitrust principles in the healthcare industry and those principles will allow collaboration where it makes sense for consumers, with reduced prices, reduced costs and increased quality. The pressure will fall on providers to explain how their proposed mergers and acquisitions will benefit consumers. Mr. Cernak also commented on the FTC v. Phoebe Putney case, saying that as it was a unanimous opinion that came out fairly quickly, it must have been one that didn't generate much discussion among the court. The justices were pretty skeptical of the arguments made by the hospitals, and Justice Sonia Sotomayor, the author of the opinion, was the one leading the skepticism.

Mr. Patel said patent trolls began emerging in the mid-90s, following a series of lawsuits over patents owned by Jerome Lemelson. Mr. Patel said the bill will help reduce the number of patent cases filed by patent trolls, but the definition of a troll needs to be modified in the current version of the bill.

Heinz and Dial say that News Corp has a monopoly because its sales in the coupon and in-store marketing industry dwarf the competition. Schiff Hardin Partner Greg Curtner, who was lead counsel for Valassis in a similar case against News which resulted in a recovery of over $500 million for Valassis, says it is difficult to predict how the case will develop. He says that the new cases brought by important consumer packaged goods customers raise interesting issues with regard to the standards required for monopolization. These issues continue to be of interest to antitrust practitioners and the courts. Classen Immunotherapies, analyzing the extent of Hatch-Waxman patent infringement safe harbors spurred continued uncertainty about which post-approval activities are subject to the exemption because of a separate filing opinion. Another case, Momenta Pharmaceuticals v. Amphastar, raises questions about how the safe harbor should be defined in the postmarket space in light of the emerging biosimilar market. Mr. Ohly said that if the Momenta and Classen decisions are left standing, without further appellate review, the relative certainty that the Solicitor General suggested might now exist may, in fact, be absent, since both Classen and Momenta are entitled to equal respect as precedent. Mr. Ohly also said that when the Solicitor General says don't take this case because Momenta 'cabined' the earlier decision, it is signaling that Momenta isn't far behind, and that it may be the better case for Supreme Court review.

Schiff Hardin counsel George Yu was quoted in multiple articles about anticipated debate regarding the FDA's first biosimilar substitution standards. Biosimilar approval is not necessarily expected this year. Mr. Yu said that the next couple of years will tell whether companies use the biosimilar pathway, but a citizen petition more immediately comes into play and offers cues into potential legal challenges. Abbot last year petitioned FDA to refuse biosimilar applications, meetings with companies developing them and approvals for products that reference a biologic license application submitted to FDA before the Affordable Care Act was signed into law, citing Fifth Amendment protections for company trade secrets. Mr. Yu said that it will be interesting to see FDA’s final position or whether the petition starts litigation around the pathway. He said that if rejected, Abbott will certainly seek to challenge in district court. FDA provided an interim response in response in October, saying it was still analyzing the complex issues raised by the petition.

'Biotechs Urged to Weigh in as Supreme Court Considers Myriad'

Schiff Hardin partner D. Christopher Ohly was quoted in this article about the Supreme Court's decision to grant cert in Association for Molecular Pathology v. Myriad Genetics Inc. When Myriad came before the Supremes earlier this year, the justices remanded the case to the Federal Circuit with instructions to reconsider it in light of the high court's Mayo v. Prometheus ruling a week earlier. Mr. Ohly said that the Federal Circuit had an opportunity to apply the reasoning of Prometheus in its second review of Myriad but declined to extend the reasoning of that case, which dealt with processes, to a case involving a product. He said that the Federal Circuit did so, in part, because the Supreme Court jurisprudence in each area is different. By taking the Myriad case, the Supreme Court may smooth the edges between its precedents in these two areas. Mr. Ohly explained that the Myriad decision turned on the molecular difference in a segment of DNA that was ‘isolated’ by manmade processes, from the same segment as it may be found in its natural state as part of a much longer DNA molecule. He said that it remains to be seen whether this difference, which may be as small as a single atom on each end of the isolated segment, will be enough to allow the Supreme Court to agree with the Federal Circuit.

Ms. Denniston said that the move by Calpers is the opening battle that could see the case move all the way to the U.S. Supreme Court. She added that all municipal bankruptcy cases, including San Bernardino's, are adjudicated in federal court. Calpers is in effect asking that the state law governing its contractual relationship with debtor cities not be trumped in federal court. Ms. Denniston is quoted saying this is the opening move in complex legal issue over how much power a federal bankruptcy court has over a state contract. The state statute, and Calpers, says Calpers always gets paid in full, and this is the first time this has ever been tested.

Mr. Cernak said that the Supreme Court will provide some guidance as to whether what the Georgia legislature did was clear articulation or not. Mr. Cernak also said that he expects the second prong in the state action exemption, &'active supervision”, to come up in the arguments and in whatever opinion comes from the court as well. Though it is clear the active supervision prong doesn't apply to the actions of a state legislature, the rule is murkier when it comes to substate entities like the hospital authority in the case or various licensing boards.

Schiff Hardin partner Valarie Hays is quoted in this article regarding the U.S. Department of Justice’s decision to end a deferred prosecution agreement (DPA) related to alleged violations of the Foreign Corrupt Practices Act (FCPA) one year early. Offshore drilling company Pride International entered into a three-year DPA with the Justice Department in November 2010 to settle allegations of illegal bribes. Pride was acquired by Enesco in 2011, which then took over the DPA requirements. After paying a $32.6 million criminal fine and adhering to certain compliance procedures, the Justice Department released Pride of its agreed commitments. Ms. Hays notes the unusual nature of this case, since Pride had already entered into the DPA at the time it was acquired by Enesco. She adds that a company can minimize its chances of successor liability by maintaining an effective compliance program that includes newly acquired companies.

If Congress does not intervene, the lifetime exemption will drop to $1 million for individuals (from $5.12 million) and $2 million for couples (from $10.24 million). Ms. Severson, who focuses her practice in estate and gift planning, notes that many clients with real estate investments opt for a limited liability company (LLC), because buildings are not as marketable when they are owned by several family members through an LLC. If one member of a family-owned LLC sells his share, an outside party may be less inclined to purchase that share, since he would have to negotiate with the rest of the LLC members.

Once the obligation to preserve documents occurs, a litigation hold notice will be distributed to custodians of potentially relevant information. In certain situations, it may be counterproductive to issue a broad litigation hold. Specifically in situations where a company employee has been involved in illegal activity, Ms. Pileggi noted that if the corrupt employee received a notice of a litigation hold and sbecame concerned about incriminating information, there was an increased likelihood that the corrupt employee would destroy responsive incriminating documents. Under these circumstances, a broad litigation could hamper the company’s ability to do an internal investigation.

A Texas prison inmate later confessed to killing her son in a home intrusion, and the conviction was reversed in 2004. Schiff Hardin managing partner Ron Safer and Northwestern University School of Law’s Center on Wrongful Convictions defended her in the retrial, and in 2010, Rea received a Certificate of Innocence clearing her name entirely.

Mr. Dominguez began to represent the woman through a legal clinic in Rogers Park, operated by Volunteer Legal Services (CVLS) and staffed by Schiff Hardin. The woman, who has a disability, was denied twice for Supplemental Security Income in 2010 but Mr. Dominguez presented the facts of the case and evidence of her disability to an administrative law judge, who later issued a decision stating the woman met the definition of disabled. She will receive the monthly benefits she is entitled in addition to about $17,000 in Supplemental Security Income dating back to 2010. Mr. Dominguez says that the woman is a very deserving client and plans to continue doing pro bono work as much as possible moving forward in his career.

Appeals Decision Goes to Starks

In a recent Chicago Tribune article, Schiff Hardin managing partner Ron Safer comments on the ongoing legal battle to fully exonerate client Bennie Starks, a man wrongfully accused of battering and raping a woman in 1986. After DNA evidence emerged in the early 2000s establishing his innocence, Starks was released on bond. Even then, prosecutors clung to the rape charge. After Starks won two victories in the court of appeals, the second argued by Safer, the prosecutors finally dropped the rape charge. Although the battery charge was committed by the same person who committed the rape – not Starks – the state opposed Starks' team's efforts to vacate the battery charge. In June, appellate judges ordered Lake County to hold a hearing in which Safer and the rest of Starks' lawyers can argue for a new trial for the alleged battery. Prosecutors asked the appellate court to reconsider, but the request was rejected. Lake County must now either hold the hearing or ask the state supreme court to review the case. Safer notes the strength of the DNA evidence and the fact that Starks has already satisfied the sentence for battery.

This feature story in the July issue of The American Lawyer (a publication that included Schiff Hardin in its &'Am Law 200” listing the previous month) spotlights Schiff Hardin’s 2006 pro bono work on behalf of wrongfully convicted Julie Rea Harper. Harper, an Illinois woman who had been sentenced to 65 years in prison for the 1997 murder of her son, won a new trial in 2004 due to a procedural error. Ron Safer led the team that tried the new case with the invaluable assistance of Bill Meyer and other Schiff Hardin attorneys. Their innovative and tireless efforts — comprising 2,776 hours in 2006 alone — brought to bear blood spatter and DNA analysis and expert witness testimony to win an acquittal for Harper.
