Robert Minkus focuses his work on mergers and acquisitions and issues of public disclosure. His practice also includes general corporate and corporate finance matters.
His experience includes:
- Representing acquirers, targets, independent directors and financial
advisers in mergers and other acquisition transactions, including tender offers
- Counseling public corporations on their disclosure duties and matters of
corporate governance, including director independence and takeover defenses
- Providing general corporate representation to public and private companies
- Advising special committees of independent directors
- Representing issuers and underwriters in securities offerings, including
forward transactions, and buybacks
- Counseling private equity portfolio companies in initial public
offerings
In addition, he is a member of the firm's Diversity Committee.
Experience
- Represented NiSource Inc. in its acquisition of Columbia Energy Group and
the subsequent dispositions of several non-core businesses
- Represented Newell Rubbermaid Inc. in a capital structure optimization plan
including a note offering, debt tender offer, exchange offer and accelerated
stock buyback
- Represented NiSource in numerous debt, equity and hybrid financings,
including a forward equity offering
- Advises several NYSE- and Nasdaq-listed companies Inc. on disclosure and
compliance issues
- Represented AAR CORP. in several acquisitions, including the purchase of a
provider of expeditionary airlift services and aircraft modifications to U.S.
and other government customers
- Represented Amsted Industries Incorporated in a number of transactions since
its leveraged buyout by an Employee Stock Ownership Plan (ESOP)-led entity, and
Northern Trust Corporation in a number of its acquisitions
- Represented several stock exchanges in their demutualization transactions
and, in one case, its subsequent initial public offering
- Represented a leading international executive recruiting firm in the
acquisition of a division of another executive recruiting firm
- Represented a private equity fund portfolio company in the wire and cable
manufacturing industry in an initial public offering and continues to represent
the public company.
Speeches and Presentations
Mr. Minkus regularly speaks on securities law matters, including at the Ray Garrett Jr. Corporate and Securities Law Institute and at Practising Law Institute programs, where he has been a regular participant in programs focusing on understanding the federal securities laws.
