Shirley M. Lukitsch represents both public and private companies in mergers and acquisitions, dispositions, leveraged buy-outs and other business transactions. She has substantial experience representing institutional investors and mezzanine and private equity funds in equity investments in privately held companies, including the preparation and negotiation of limited liability company agreements, stockholders' agreements, and other contracts governing the rights of investors and co-investors. She also counsels clients in a wide range of business transactions, including licensing and services agreements, primarily in the financial services industry.
Her securities practice includes the representation of both issuers and underwriters in public offerings and private placements of securities. She counsels clients in 1934 Act compliance, including the preparation of periodic reports and disclosure documents and compliance with Section 13(d) and Rule 144. She also assists plan sponsors (including foreign issuers) in complying with federal and state securities laws in connection with stock-based benefit plans.
