Robert B. Wilcox's work focuses on transactions involving technology licensing and other transfers of rights in various kinds of intellectual properties.

He reviews and writes license agreements relating to software, patents, and trademarks for clients acting as licensors and as licensees.

Mr. Wilcox has had extensive experience with various other forms of agreements that are commonly used in connection with transfers of intellectual property rights or that relate to such rights, including:

  • Data feed agreements
  • Asset purchase agreements
  • Consulting and software development agreements
  • ASP, facilities management and service bureau agreements
  • Source code escrow agreements
  • Confidentiality agreements
  • Joint venture and teaming agreements

He counsels clients — both software developers and system integrators on the one hand, and licensees and acquirers of consulting, development and implementation services on the other — as to their rights and responsibilities when development and consulting projects do not go as planned.

Mr. Wilcox's practice focuses particularly on intellectual property issues that are important to participants in the securities industry. He:

  • Works on contracts for the use of securities indexes in various contexts
  • Follows developments in the law of the rights of index owners
  • Reviews and writes contracts for the dissemination of market data

He also has been involved in many regulatory matters, including:

  • The creation of new National Market System Plans
  • The formation of an exchange
  • Matters involving the creation of new types of derivative securities
