Richard T. Miller has experience in mergers, acquisitions, divestitures, financings, project development and start-ups involving both public and private companies.
His transactional practice includes:
- Negotiating and drafting private stock and asset purchase agreements
- Preparing and filing annual and periodic reports under securities law
- Advising clients with respect to all aspects of securities laws reporting and compliance
- Drafting private placement memoranda and negotiating and drafting note and credit agreements for both borrowers and lenders
- Negotiating and drafting contracts and agreements for the development and financing of integrated power projects and other large industrial projects
- Representing venture capital companies in their investments in Internet and other start-up enterprises
Mr. Miller's practice also includes the organization and day-to-day corporate legal representation of corporations, limited liability companies and partnerships.
Previous Experience
Early in his career, Mr. Miller was involved in the trial of one of the largest nationwide class action cases.
