Patricia Dondanville

Patricia Dondanville regularly counsels senior management of public and private companies with respect to strategic business, legal and corporate finance matters, mergers, aquisitions and divestitures, and relationships with employees, lenders and customers.

Her practice also includes:

  • Corporate, securities and finance representation of public and private companies, as borrowers and lenders of all types, in secured and unsecured financing
  • Intercreditor and loan syndication/participation matters
  • International finance

She also advises financial institutions, other market participants, and public and private corporations — including public utilities and their energy marketing affiliates — regarding:

  • Derivatives and trading markets policy development
  • Interest rate and energy forwards
  • Futures and swaps and other derivatives transactions
  • Various legal, regulatory and exchange restrictions on market activity

Ms. Dondanville has been identified by clients as a member of the BTI Consulting Group's Client Service All-Star Team for Law Firms.

  • Provides strategic and legal counsel to a number of other energy industry clients.

Publications

At the request of the Edison Electric Institute (EEI) and the National Energy Marketing Association, Ms. Dondanville organized and co-chaired for many years an industry-wide committee that drafted a standardized master contract for the purchase and sale of wholesale electric power (EEI Master Contract). The committee continues to meet to address issues facing the wholesale electric markets, to draft additional optional provisions to supplement the EEI Master Contract, and to provide ongoing training for industry participants.

Speeches and Presentations

Ms. Dondanville is a frequent speaker and panel member on programs dealing with corporate finance, derivatives risks and energy marketing.

Previous Experience

In addition to her private practice, Ms. Dondanville served for a number of years as a Deputy General Counsel for a Fortune 500 energy holding company. In that role, she managed an in-house legal staff, had budgetary responsibility, and selected and supervised outside counsel representing NiSource and its subsidiaries.
