James E. Brown concentrates his practice in corporate and commercial law, with a principal focus on mergers and acquisitions, and secured and unsecured public and private financings.
Corporate Practice
Mr. Brown concentrates on mergers and acquisitions, with a specialty in "roll-up" transactions involving the acquisition of dozens of small companies to create on large entity. This work involves:
- Structuring the transaction
- Negotiating and documenting the individual acquisition
- Counseling the new entities on a going-forward basis
He also provides general corporate counseling to a number of longstanding firm clients, particularly those in the public utility industry.
Commercial Credit
- Represents several major money center banks in connection with the negotiation and documentation of secured and unsecured loans
- Represents several major corporate borrowers with respect to their financing activities, including the issuance of secured and unsecured debt and other securities
